1. Introduction & Acceptance

This Privacy Policy and Terms of Use (the "Policy") governs your access to and use of Eureka (the "Platform"), operated by its owner ("we", "us", or "the Owner"). The Platform is a marketplace that connects inventors seeking funding with investors seeking opportunities.

By creating an account, browsing the Platform, listing a project, initiating a contract, or making any payment, you acknowledge that you have read, understood, and agree to be bound by this Policy. If you do not agree, you must not use the Platform.

2. Information We Collect

We collect information you provide directly, including your name, email address, account role (inventor or investor), profile details, biography, expertise, location, and website.

Inventors who list projects provide project titles, descriptions, categories, funding goals, and any uploaded media. Investors provide investment range preferences and firm information.

Payment information is collected and processed by our third-party payment provider (Base44 Payments / Wix). We do not store full card or banking details on our servers; we retain only transaction identifiers and status records necessary to confirm payment and grant access.

We automatically collect technical data such as device type, browser, and usage logs when you interact with the Platform.

3. How We Use Your Information

We use your information to operate the Platform, authenticate your account, display profiles and projects, facilitate messaging and contracts between users, process payments, send service notifications, enforce our policies, and comply with legal obligations.

We do not sell your personal information to third parties.

4. Information Sharing & Disclosure

Profiles and project listings are publicly visible so that investors and inventors can discover each other. Information you choose to publish is accessible to other users and visitors.

Messages and contract details are visible only to the parties involved and to Platform administrators. We may disclose information when required by law, court order, or to protect the rights, safety, or property of the Owner, our users, or the public.

5. Intellectual Property Rights

Inventors retain all intellectual property rights in their inventions, ideas, designs, and project materials. By listing a project, you grant the Platform a limited, non-exclusive license to display your submitted content for the purpose of operating and promoting the Platform.

You are solely responsible for ensuring you have the rights to publish any content you submit, and you agree not to infringe the intellectual property rights of any third party.

Investors acknowledge that information disclosed by inventors may be confidential and agree not to misuse, copy, or redistribute an inventor's materials outside of legitimate investment evaluation without consent.

6. The Platform's Role — Marketplace Only

Eureka is a venue for inventors and investors to find and connect with one another. We are not a party to any agreement, contract, or transaction between users.

We do not negotiate, draft, enforce, or guarantee the terms of any contract. Any contract, milestone, or funding arrangement is solely between the inventor and the investor. The Owner is not a broker, agent, fiduciary, lender, or escrow service.

7. No Investment Advice & No Guarantee of Results

Nothing on the Platform constitutes investment, financial, legal, or tax advice. Project descriptions, funding goals, and projections are provided by inventors and have not been verified, endorsed, or audited by the Owner.

The Owner makes no guarantee that any project will receive funding, that any investor will find suitable opportunities, or that any contract will be completed or profitable. Investing in early-stage inventions involves significant risk, including the total loss of your investment.

8. User Responsibilities

Inventors agree to provide accurate, truthful information about their projects and to honor the contracts they enter into. Investors agree to conduct their own independent due diligence before committing funds and to act in good faith in negotiations.

All users agree to comply with applicable laws, not to engage in fraud or misrepresentation, and not to use the Platform for any unlawful or abusive purpose.

9. Limitation of Liability

To the maximum extent permitted by law, the Owner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or business, arising out of or related to your use of the Platform.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We do not warrant that the Platform will be uninterrupted, secure, or error-free.

You acknowledge that any transaction between you and another user is at your own risk, and that the Owner's aggregate liability for any claim arising from the Platform shall not exceed the amount you paid to the Owner for the use of the Platform in the preceding twelve (12) months.

10. Indemnification

You agree to indemnify and hold harmless the Owner and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of this Policy, your infringement of third-party rights, or your conduct in connection with any contract or transaction with another user.

11. Payments & Fees

Investor registration requires a one-time fee processed through our payment provider. Advertising placements are charged according to the rates displayed at the time of purchase. Fees are non-refundable except where required by law or as explicitly stated.

The Owner reserves the right to change pricing at any time; changes apply only to future purchases.

12. Data Retention & Security

We retain your account and project data for as long as your account is active and as needed to provide our services. We use reasonable administrative and technical safeguards to protect your information, but no method of transmission or storage is completely secure.

13. Third-Party Links & Services

The Platform may contain links to third-party websites or integrate third-party services. We are not responsible for the content, policies, or practices of those third parties, and you use them at your own risk.

14. Changes to This Policy

We may update this Policy from time to time. Material changes will be reflected by updating the "Last updated" date below. Continued use of the Platform after changes constitutes acceptance of the revised Policy.
